This role serves as a key legal advisor to the Revenue organization, partnering closely with Sales, Sales Operations, and cross-functional stakeholders to help drive commercial outcomes while managing legal and business risk. Provides practical, solutions-oriented counsel on commercial sales matters, including customer contracting strategy, negotiation support, and interpretation of key terms across a range of customer agreements. Leads and oversees the drafting, review, and negotiation of complex commercial contracts (e.g., master agreements, order forms, statements of work, renewals, amendments, and related documents) by aligning deal terms with company policies and applicable laws. Establishes scalable contracting frameworks and playbooks by developing and maintaining templates, clause guidance, approval pathways, and escalation mechanisms to improve consistency and cycle time. Identifies and mitigates legal and compliance risks affecting revenue-generating activities by advising on topics such as confidentiality, data protection, intellectual property, warranties, indemnities, limitation of liability, and dispute provisions, and by coordinating with specialists as needed.
ESSENTIAL DUTIES AND RESPONSIBILITIES:
Provides expert legal counsel on highly complex commercial, regulatory, and dispute matters to enable business objectives while managing legal, regulatory, and reputational risk.
Leads legal strategy for critical transactions and strategic agreements by structuring terms, negotiating risk allocation, and ensuring enforceable protections aligned with governance requirements.
Advises senior leaders on legal and compliance implications of significant business initiatives by identifying key issues, evaluating options, and recommending practical mitigation strategies.
Develops, maintains, and stewards legal standards, templates, playbooks, and negotiation guidance to improve contracting consistency, efficiency, and risk outcomes across the organization.
Guides compliance and governance execution by interpreting laws, advising on controls, and supporting responses to audits, inquiries, and escalations.
Builds legal capability across the team by coaching other legal professionals, providing subject-matter guidance, and leading knowledge sharing on complex topics.
REQUIRED:
US licensed, with 8+ years of experience
Substantial commercial experience, preferably at least some of which has been gained in-house
Demonstrated expertise in drafting and negotiating complex commercial agreements
Proven track record in providing pragmatic and business-focused legal advice to senior stakeholders
Ownership of projects and tasks through to completion
SKILLS:
Strong negotiation and contract drafting skills
Excellent written, communication, and interpersonal skills with the ability to engage effectively with diverse stakeholders
PREFERRED:
Experience in hardware and/or semiconductor industries
