The Senior Counsel will be responsible for broad-based transactional work, including securities matters, corporate governance, and franchising.
Responsibilities:
Broad-based transactional work, including counseling internal clients on structuring of franchise deals and negotiations
Review and prepare periodic SEC disclosure materials, including press releases, 10-Ks, 10-Qs, 8-Ks and the Proxy Statement
Advise on general corporate and securities issues, including issues relating to securities matters, M&A transactions, capital markets, corporate governance, corporate policies, procedures and programs, and equity compensation plans
Review and negotiate franchise-related agreements, including franchise and development agreements
Prepare franchise disclosure documents and ensure compliance with all franchise laws and regulations
Provide support as necessary to other functions in the legal department including marketing, technology, compliance, and international
Provide strategic and practical advice to internal clients at all levels, including top level executives across all three brands and Dine Brands
Skills & Requirements:
At least 8 years of broad-based transactional or securities/corporate law experience
J.D. from an accredited top tier law school
Experienced in a wide range of corporate transactional matters
Excellent drafting and negotiating skills and great attention to detail
Strong organizational, project management, and time management skills required
Ability to handle a large volume and variety of matters
Track record of initiative, problem solving, ownership of projects, and intellectual curiosity
Strong interpersonal, verbal, and written communication skills with the ability to influence business clients in a calm and professional demeanor
Excellent business judgment and experience in providing strategic and practical advice to business functions at all levels
Self-starter who is able to work independently as well as collaboratively
Previous in-house experience is preferred
Restaurant or hospitality industry experience as well as franchise experience is helpful
Target base salary 200-225k depending on experience
