Worker Type: Maximum Term/Fixed Term (Fixed Term) ABOUT THE JOB The Manager, Company Secretary is accountable for the effective operation and quality of the organisation's governance, company secretarial, and regulatory compliance activities. With a primary focus on Company Secretary responsibilities , the role ensures Board and entity governance is well-planned, compliant, and consistently executed, while providing oversight and direction across legal and compliance workflows. The role supports confident decision-making, regulatory assurance, and institutional resilience by owning governance processes, overseeing statutory obligations, and managing risk through structured controls and clear accountability. YOUR RESPONSIBILITIES Effective operation of the NAB Vietnam boards within portfolio. ​ Compliance with corporate governance legal and compliance obligations for each of the NABVN boards, including preparation of minutes and maintaining corporate records. ​ Other corporate governance tasks assigned by the Deputy Company Secretary, Governance Operations. ​ Undertake VN reporting requirements (as needed). YOUR SKILLS & EXPERIENCE Capabilities ​ Strong attention to detail, strong written and oral communication and ability to navigate complexity and through the organisation’s structure, managing relationships, influencing and anticipating needs. ​ Technical skills include understanding and operating corporate governance accountabilities, concepts, policies, tools and templates, most of which are based on legal and regulatory requirements. Ability to understand these requirements and practically apply these at a process level is essential. ​ Ability to quickly understand complex topics and issues is also essential to be able to provide guidance on Board engagement and draft accurate minutes. ​ Strong work discipline and ethics, including ability to keep information strictly confidential. ​ Self-motivation and ability to work under pressure, manage multiple tasks and prioritise deadlines. ​ Ability to work with minimal supervision, while knowing when to escalate matters to People Leader. ​ Continuous improvement mindset. Experience ​ 5+ years relevant experience as a Company Secretary, having a legal background (preferable) or other relevant professional qualification. ​ Deep and practical understanding of good governance practices having previously worked in a Legal, Governance or Risk department of a major corporation. ​ Knowledge of Corporations legislation and other corporate governance requirements, and how they impact a company’s day to day administration and governance). ​ ​ Qualification Requirements ​ Relevant professional qualifications, such as law, commerce or business degree, as well as relevant experience.
